1. Provider and acceptance

These Terms are intended to govern access to Yachtbase, operated by {LEGAL_ENTITY_NAME} at {REGISTERED_ADDRESS}. They are not final until the entity, commercial model, order process and governing law are confirmed.

By using a published service, the customer confirms authority to act for the relevant organisation and agrees to use the service lawfully.

2. Service scope

Yachtbase provides software for yacht-related fleet, client, communication, commercial, booking, document, payment and owner-relationship operations. Specific features, limits, providers, plans and rollout controls may vary by workspace and order.

Yachtbase is not statutory accounting, tax filing, legal advice, a vessel-safety service, an insurer, a bank, a payment institution, a broker of record, or a substitute for professional judgement.

3. Customer responsibilities

The customer is responsible for its account, users, permissions, source data, yacht information, client notices, consent, commercial terms, tax treatment, legal compliance, provider approvals and decisions made using the service.

Customers must not upload secrets they are not authorised to share, misuse personal data, impersonate another person, interfere with the service, bypass access controls, publish unlawful content, or use the service for safety-critical decisions without appropriate human controls.

4. Third-party services

Some capabilities depend on third-party providers, partner credentials, regional availability, contracts, approval, configuration or service health. Yachtbase does not promise that every provider or feature is available in every workspace. Third-party terms and privacy policies may also apply.

5. Availability and changes

The service may evolve, be maintained, have limits, or contain interruptions. We may suspend or restrict access where reasonably necessary for security, legal compliance, misuse prevention, provider requirements, non-payment or protection of the service and its users.

We will not describe a feature as universally live, production-certified or legally authoritative without the evidence and contractual terms needed to support that statement.

6. User content and intellectual property

The customer retains rights in its content and grants the permissions necessary to provide, secure, maintain and improve the contracted service. Yachtbase and its licensors retain rights in the software, brand, designs and documentation. Feedback may be used without transferring customer confidential information.

7. Payments and cancellation

8. Disclaimers and liability

To the extent permitted by applicable law, the parties should define proportionate exclusions for indirect loss, loss of profit and business interruption, subject to the nature of the service and customer status. Nothing in these Terms should exclude or limit liability that cannot lawfully be excluded or limited, including applicable protections concerning intent, gross negligence, life, body, health, mandatory product or consumer rights, confidentiality, data protection or other non-waivable obligations.

Any final limitation must be clear, comprehensible, commercially appropriate and reviewed for the relevant customer type and jurisdiction.

9. Indemnity and misuse

Where legally permitted and proportionate, the customer may be responsible for claims arising from unlawful content, unauthorised data, misuse, breach of these Terms, or instructions it supplied. The final clause must define procedure, control of defence and reasonable limits rather than attempting to transfer every possible risk.

10. Governing law and disputes
